Terms of Service

Acceptance of Terms

By accessing or using any services provided by Rhobel IT Solutions ('Rhobel', 'we', 'us', or 'our'), you agree to be bound by these Terms of Service. If you do not agree to these terms, please discontinue use of our services immediately. These terms apply to all visitors, clients, and others who access or use our services.

Services Provided

  • Custom software development for web, desktop, and cloud platforms.
  • Mobile application development for iOS and Android platforms.
  • Website design, development, and ongoing maintenance.
  • Custom plugin and integration development for third-party platforms.
  • Technical consulting, code reviews, and architectural advisory services.
  • Post-launch support, bug fixes, and feature enhancements as agreed.

Client Responsibilities

  • Provide accurate, complete, and timely information required for project delivery.
  • Review and provide feedback on deliverables within agreed-upon timelines.
  • Ensure you hold all necessary licenses, rights, and permissions for content you supply.
  • Maintain confidentiality of any login credentials or access details shared with you.
  • Inform us promptly of any changes to project scope, requirements, or timelines.

Payment Terms

Payment schedules, milestones, and rates are defined in individual project agreements or statements of work. Invoices are due within the timeframe specified therein. Late payments may incur interest charges as permitted by applicable law. Rhobel reserves the right to suspend or terminate services for accounts with overdue balances. All prices are exclusive of applicable taxes unless stated otherwise.

Intellectual Property

Upon receipt of full and final payment, Rhobel assigns all intellectual property rights for custom deliverables to the client, unless otherwise specified in the project agreement. Rhobel retains the right to display completed work in its portfolio and marketing materials unless the client requests confidentiality in writing. Pre-existing tools, frameworks, libraries, and proprietary methodologies remain the property of Rhobel or their respective owners.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the engagement. Rhobel will not disclose your business data, technical specifications, or trade secrets to third parties without your explicit written consent, except as required by law. Confidentiality obligations survive the termination of any service agreement for a period of three (3) years.

Limitation of Liability

Rhobel's liability for any claim arising from the provision of services shall not exceed the total fees paid by the client in the three (3) months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages including lost profits, data loss, or business interruption, even if advised of the possibility of such damages. These limitations apply to the fullest extent permitted by applicable law.

Warranties and Disclaimer

Rhobel warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We do not guarantee that software will be free of all defects; however, we commit to resolving material defects reported within the agreed warranty period. Services are provided 'as is' beyond the warranty period. Rhobel does not warrant uninterrupted or error-free operation of third-party platforms or infrastructure.

Termination

Either party may terminate a service agreement with written notice as specified in the project contract. Upon termination, the client is responsible for fees incurred up to the termination date. Rhobel will deliver all completed work and assets upon receipt of outstanding payments. Provisions related to intellectual property, confidentiality, and limitation of liability survive termination.

Governing Law

These Terms of Service are governed by and construed in accordance with applicable laws. Any disputes arising out of or related to these terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or a competent court of jurisdiction as agreed by both parties in the project agreement.

Changes to Terms

Rhobel reserves the right to update these Terms of Service at any time. We will notify clients of material changes via email or a notice on our website. Continued use of our services following any modification constitutes acceptance of the revised terms. We encourage you to review these terms periodically.
